ScanShield AI Terms and Conditions

These Terms and Conditions ("Terms") govern access to and use of ScanShield AI's websites, applications, artificial intelligence tools, inspection technology, reports, documentation tools, and related services (collectively, the "Services"). By creating an account, purchasing a subscription, accessing the Services, or otherwise using ScanShield, you agree to these Terms. If you use ScanShield on behalf of a business or organization, you represent that you have authority to bind that organization to these Terms.
1. ScanShield Services
ScanShield provides software designed to assist roofing contractors and other authorized professionals with inspection, documentation, analysis, reporting, photo management, forms, signatures, and related workflows. Features may include AI-assisted roof analysis, damage detection, roof-condition assessments, inspection reports, roof scoring, Photo Vault, forms and templates, electronic signatures, mobile inspection functionality, documentation tools, analytics, integrations, and other features introduced from time to time. Features may change, improve, be replaced, or be discontinued as the platform evolves.
2. AI-Assisted Technology
ScanShield uses artificial intelligence and automated technologies to analyze submitted information. ScanShield does not replace the judgment of a qualified roofing professional. AI-generated findings are informational and assistive in nature and may contain inaccuracies, omissions, false positives, or false negatives. Users are responsible for independently reviewing inspection findings and determining whether additional inspection, testing, engineering, repair, replacement, or other action is appropriate.
3. No Insurance Coverage Determination
ScanShield is not an insurance company, public adjuster, claims adjuster, engineer, or legal advisor. ScanShield does not determine insurance coverage, whether a loss is covered, whether an insurance claim should be approved, the amount an insurer should pay, or whether observed damage resulted from a particular storm or event. AI findings and reports may assist professionals in documenting observed property conditions but do not guarantee insurance coverage, claim approval, or payment.
4. No Guarantee of Damage Detection
ScanShield does not guarantee that the Services will identify every instance of damage, deterioration, defect, or other property condition. Results can be affected by image quality, lighting, camera angle, resolution, number of photographs, obstructions, roof materials, environmental conditions, user-provided information, and other technical or physical factors. Users remain responsible for conducting appropriate professional inspections.
5. User Accounts
Users must provide accurate information when creating an account. Users are responsible for maintaining credential confidentiality, activity occurring under their accounts, managing authorized users, maintaining appropriate account permissions, and promptly notifying ScanShield of unauthorized access. Accounts may not be shared outside the subscribing organization except as expressly permitted.
6. Customer Content
Users may upload photographs, videos, documents, customer information, forms, signatures, reports, and other information ("Customer Content"). Customers retain ownership of their Customer Content. By submitting Customer Content, users grant ScanShield the rights reasonably necessary to host, store, process, analyze, transmit, reproduce, and otherwise use the content to provide, maintain, secure, support, and improve the Services, subject to these Terms and our Privacy Policy. Users represent that they possess all rights and permissions necessary to submit Customer Content.
7. Acceptable Use
Users may not use the Services unlawfully; attempt unauthorized access; circumvent security controls; interfere with platform operation; upload malicious software; use another person's account without authorization; scrape or systematically extract platform data without authorization; reverse engineer the Services except where prohibited from restricting such activity by law; misrepresent AI findings; use ScanShield to commit fraud or facilitate fraudulent insurance claims; or violate intellectual-property or privacy rights. ScanShield may suspend or terminate access for violations.
8. Subscription and Billing
Certain Services require a paid subscription. Pricing, billing frequency, included features, usage rights, and subscription terms will be presented at purchase or otherwise agreed between ScanShield and the customer. Unless otherwise stated, subscriptions automatically renew according to the selected billing period until canceled. Customers authorize ScanShield and its payment processors to charge applicable subscription fees and taxes.
9. Promotional and Locked-In Pricing
ScanShield may periodically offer promotional, introductory, founding-customer, or locked-in pricing. Eligibility, duration, renewal treatment, included features, and other restrictions will be governed by the terms presented with the applicable offer. A promotional price does not guarantee that the same price will remain available after the stated promotional or locked-in period.
10. Unlimited Plans
Where a subscription is described as including “unlimited” users, inspections, reports, storage, or other functionality, unlimited use means reasonable use in connection with the customer's legitimate internal business operations. Unlimited access does not permit resale, account pooling among unrelated businesses, automated abuse, excessive non-business storage, or activity that materially impairs the Services. ScanShield may contact customers regarding extraordinary usage and may apply reasonable technical or account limitations to prevent abuse.
11. Cancellation
Customers may cancel subscriptions according to the terms applicable to their selected plan. Unless otherwise required by law or expressly stated in an offer, amounts already paid are non-refundable. Cancellation prevents future renewal but does not necessarily entitle the customer to reimbursement for unused portions of a billing period.
12. Electronic Signatures
Where ScanShield provides electronic-signature functionality, customers are responsible for determining whether electronic signatures are appropriate and legally sufficient for their particular documents and transactions. ScanShield does not provide legal advice concerning the enforceability of any document.
13. Reports
ScanShield-generated reports may contain AI findings, user-supplied information, images, observations, scores, recommendations, and other data. Users are responsible for reviewing reports for accuracy before providing them to homeowners, insurance professionals, customers, or other third parties.
14. Intellectual Property
ScanShield and its licensors retain all rights in and to the Services, including software, artificial intelligence systems, algorithms, designs, interfaces, trademarks, branding, documentation, and other proprietary technology. Except for the limited right to use the Services under these Terms, no intellectual-property rights are transferred to users.
15. Feedback
If users provide suggestions, recommendations, ideas, or other feedback concerning ScanShield, ScanShield may use that feedback without restriction or obligation, subject to applicable law.
16. Third-Party Services
The Services may integrate with or link to third-party products. ScanShield does not control and is not responsible for third-party products, availability, security, performance, or terms. Use of third-party services may be subject to separate agreements.
17. Service Availability
We work to maintain reliable access but cannot guarantee uninterrupted or error-free operation. The Services may occasionally be unavailable because of maintenance, updates, third-party outages, infrastructure failures, security events, or circumstances beyond ScanShield's reasonable control.
18. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” SCANSHIELD DISCLAIMS WARRANTIES NOT EXPRESSLY PROVIDED IN A WRITTEN AGREEMENT, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SCANSHIELD DOES NOT WARRANT THAT AI OUTPUT WILL BE COMPLETE, ERROR-FREE, OR SUITABLE AS THE SOLE BASIS FOR PROFESSIONAL, FINANCIAL, INSURANCE, ENGINEERING, OR LEGAL DECISIONS.
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCANSHIELD AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR LOST OPPORTUNITIES ARISING FROM OR RELATING TO THE SERVICES. SCANSHIELD'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT PAID BY THE CUSTOMER TO SCANSHIELD DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, UNLESS APPLICABLE LAW REQUIRES OTHERWISE.
20. Indemnification
To the extent permitted by law, customers agree to defend, indemnify, and hold harmless ScanShield and its affiliates from claims, damages, losses, liabilities, and expenses arising from Customer Content, misuse of the Services, violation of these Terms, violation of applicable law, infringement of third-party rights, or misrepresentation or improper use of AI-generated findings.
21. Suspension and Termination
ScanShield may suspend or terminate access where reasonably necessary because of nonpayment, security concerns, fraud, abuse, violation of these Terms, legal requirements, or conduct threatening the integrity of the Services. Certain provisions that by their nature should survive termination will remain effective.
22. Changes to the Services or Terms
ScanShield may update the Services and these Terms as the platform evolves. Material changes may be communicated through the Services, by email, or by other reasonable means. Continued use following the effective date of updated Terms constitutes acceptance where permitted by law.
23. Governing Law
These Terms will be governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
24. Entire Agreement
These Terms, together with the Privacy Policy and any applicable order form, subscription agreement, enterprise agreement, or other incorporated terms, constitute the agreement governing use of the Services.
